Terms & Conditions

By registering on the WoZaPay platform, scanning a WoZaPay QR code, tapping a WoZaPay NFC card, or using any WoZaPay service, you agree to be bound by this Agreement in accordance with the Electronic Communications and Transactions Act 25 of 2002 (ECTA). If you do not agree, you may not use the platform.

Clause 1

Appointment as Payment Collection Agent

WoZaPay (Pty) Ltd acts as an authorised payment collection agent for the limited purpose of:

WoZaPay acts solely as a payment intermediary and collection agent. WoZaPay does not purchase, resell or take ownership of any Worker's services, Vendor's goods, or Employer's labour. WoZaPay does not accept deposits within the meaning of the Banks Act 94 of 1990.

Title to funds collected from Customers passes directly to the Worker or Vendor upon successful payment authorisation, subject to WoZaPay's right to deduct agreed fees. Funds are held in trust pending same-day settlement.

Who This Agreement Applies To

This Agreement applies to all categories of WoZaPay user:

Clause 3

Registration, Identity Verification and KYC

Eligibility: You must be 18 years of age or older. You must hold a valid South African ID document, Smart ID card, or valid passport. Foreign nationals must hold a valid South African work permit or asylum seeker document.

KYC Requirements: In compliance with the Financial Intelligence Centre Act (FICA), all Workers, Vendors and Employers must:

  1. Provide a clear copy or photograph of a valid identity document at registration
  2. Verify their cellphone number via One-Time Pin (OTP) confirmation
  3. Provide accurate and complete personal information
  4. Notify WoZaPay immediately of any change to their registered details

Enhanced Due Diligence: WoZaPay may request additional verification where monthly receipts exceed R5,000 or where risk indicators are present.

Record Retention: WoZaPay retains KYC records for a minimum of five (5) years in accordance with FICA Section 22.

Clause 4

Description of Services

For Service Workers (Tipping): Issuance of a dual NFC+QR hybrid card; receipt of digital tip payments from Customers; same-day settlement via FNB eWallet or Capitec Send Cash; SMS confirmation of each payment; access to payment history.

For Street Vendors (Sales Payments): Issuance of a dual NFC+QR hybrid card; configurable product and price listing on the Vendor's payment page; receipt of sales payments; same-day settlement; SMS confirmation; access to sales history.

For Employers (Casual Labour Wages): Ability to register casual Workers and make wage payments digitally; full payment record and audit trail; employer dashboard for managing multiple Workers.

For Customers / Tippers: Ability to make payments by tapping or scanning a Worker's or Vendor's NFC+QR card; no account or app download required; payment via any supported method including Capitec Pay, FNB, Absa, Nedbank, Standard Bank, Apple Pay, Samsung Pay, SnapScan, Zapper and Visa/Mastercard.

Fees, Settlement and Payouts

WoZaPay may modify its fees upon thirty (30) days' written notice. Continued use constitutes acceptance of updated fees.

Settlement: WoZaPay targets same-day settlement for all successful transactions via FNB eWallet or Capitec Send Cash. Workers and Vendors may collect funds at any ATM or at Pick n Pay, Shoprite, Checkers, Game, Makro or other approved retail partners.

WoZaPay's Commitment: WoZaPay targets same-day settlement — not next-morning. Where same-day settlement cannot be achieved due to factors beyond WoZaPay's control, WoZaPay will settle on the next available business day and notify the Worker or Vendor by SMS.

Settlement may be delayed where there is reasonable suspicion of fraud, a pending chargeback, a technical failure by a third-party processor, or a regulatory requirement necessitating review.

Clause 6

Data Protection and Privacy (POPIA)

WoZaPay processes personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA). By registering, you consent to WoZaPay processing your personal information for: identity verification (FICA compliance); payment processing; SMS notifications; payment records; legal and regulatory compliance; and platform improvement.

Your Rights: You have the right to access, correct or delete your personal information; to object to processing; and to lodge a complaint with the Information Regulator at inforegulator.org.za.

Data Security: WoZaPay implements appropriate technical measures to protect your data. All payment data is processed through PCI-DSS compliant payment gateways.

Data Sharing: WoZaPay will not sell your personal information. Data may be shared with payment processors (PayFast, FNB, Capitec), the Financial Intelligence Centre as required by FICA, and law enforcement authorities where required by law.

Clause 7

Anti-Money Laundering (AML) and Compliance

WoZaPay complies with FICA and all applicable AML and counter-terrorism financing legislation. By using the platform, you agree to:

  1. Only use the platform for lawful purposes and legitimate transactions
  2. Not use the platform to launder money, finance terrorism, or conduct prohibited financial activity
  3. Provide accurate and complete information at registration and throughout use
  4. Notify WoZaPay immediately of any suspicious activity on your account
  5. Co-operate fully with any verification or investigation conducted by WoZaPay

WoZaPay reserves the right to file Suspicious Transaction Reports (STRs) with the Financial Intelligence Centre (FIC) without prior notice where required by law.

Clause 8

Employer Obligations — Casual Labour Payments

Employers using WoZaPay to pay casual labourers, gardeners or domestic workers acknowledge that:

  1. WoZaPay is a payment intermediary only — not an employer or labour broker within the meaning of the Labour Relations Act
  2. The Employer remains solely responsible for compliance with all applicable labour legislation, including the Basic Conditions of Employment Act and the National Minimum Wage Act
  3. The Employer is responsible for UIF contributions, PAYE deductions where applicable, and all other statutory obligations
  4. The Employer must ensure that Workers have consented to receive payment via the WoZaPay platform

Using WoZaPay to pay your gardener or domestic worker does not discharge your obligations as an employer under South African labour law. Please consult the Department of Labour or a labour law specialist for guidance on your specific obligations.

Clause 9

NFC+QR Card — Conditions of Use

  1. The NFC+QR hybrid card remains the property of WoZaPay and is issued on licence to the registered Worker or Vendor
  2. The card may only be used by the registered Worker or Vendor and may not be transferred to another person
  3. The Worker or Vendor must display the card visibly while on duty
  4. Lost, stolen or damaged cards must be reported immediately to hello@wozapay.com
  5. WoZaPay may deactivate a card immediately upon termination of the user's account or for any breach of this Agreement
  6. The card must be returned to WoZaPay upon request or upon account termination
Clause 10

Platform Conduct

The following conduct is strictly prohibited:

Ratings: WoZaPay may use Customer ratings data to identify patterns of poor service. WoZaPay considers all relevant factors before suspending or removing any user — ratings are not used as the sole basis for any action.

Clause 11

Suspension and Termination

WoZaPay may suspend or terminate your access for breach of this Agreement, regulatory or compliance risk, fraud or suspected illegal activity, provision of false information, or where required by a regulatory authority or court order.

You may terminate your account at any time by contacting hello@wozapay.com. Outstanding settled funds will be paid within five (5) business days of account closure, subject to deduction of outstanding fees.

Clauses 6, 7, 12, 13 and 17 survive termination.

Clause 12

Limitation of Liability

The WoZaPay platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by South African law:

Indemnification

You agree to indemnify and hold WoZaPay, its directors, employees and agents harmless from any claims, losses, damages or expenses (including legal fees) arising from your breach of this Agreement, your unlawful conduct, any misrepresentation made at registration, or any dispute between you and a Customer, Employer, Worker or Vendor.

Clause 14

Electronic Signature and Acceptance

In accordance with the Electronic Communications and Transactions Act 25 of 2002 (ECTA), by clicking "I Agree", completing registration, or using the WoZaPay platform, you electronically sign this Agreement. Electronic records of acceptance — including date, time, IP address, device data, and agreement version number — constitute proof of signature.

No physical signature is required for this Agreement to be legally binding.

Clause 15

Changes to this Agreement

WoZaPay may update this Agreement from time to time. Material changes will be communicated via SMS or email at least thirty (30) days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Agreement.

Clause 16

Dispute Resolution

  1. The parties shall first attempt to resolve any dispute by good-faith negotiation within fourteen (14) days of written notice of the dispute
  2. If unresolved, the dispute shall be referred to mediation under the auspices of the Arbitration Foundation of Southern Africa (AFSA)
  3. If mediation fails, the dispute shall be resolved by arbitration in accordance with AFSA's rules, seated in Johannesburg, South Africa
Clause 17

Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of South Africa. The parties consent to the jurisdiction of the courts of the Republic of South Africa for any matter arising from this Agreement.
